1. Agreement to Terms
These Terms of Service ("Terms") govern your use of VIDG.ai ("we," "us," or "our") and apply to all visitors, customers, and users of the Website, application, and related services (collectively, the "Service").
By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use or access the Service.
2. Eligibility
You must be at least 18 years old or the legal age of majority in your jurisdiction to use the Service. If you are using the Service on behalf of a business or organization, you represent that you are authorized to accept these Terms on its behalf.
3. Accounts and Security
To access certain features, you may be required to create an account. You agree to provide accurate and current information and keep login credentials confidential. You are responsible for all activity under your account.
You must notify us immediately if you suspect unauthorized access, security breaches, or misuse.
4. Use of the Service
You agree not to:
- Upload or generate unlawful, harmful, abusive, defamatory, explicit, hateful, or misleading content
- Exploit, reverse engineer, manipulate, or misuse the Service or its underlying systems
- Use the Service for fraud, impersonation, harassment, copyright violations, or illegal activity
- Bypass or attempt to bypass access controls, security systems, or monitoring tools
We reserve the right to suspend or terminate accounts engaged in prohibited behavior.
5. AI-Generated Content
5.1 User Inputs
You retain ownership of the text prompts, uploads, and other data ("Inputs") you submit. You confirm you have the right to use such content and that it does not violate the rights of others.
5.2 AI Outputs
Unless restricted by third-party provider rules, you own the rights to the generated content ("Outputs"). Outputs may not be unique and similar content may be generated for other users.
5.3 Content Accuracy and Limitations
AI-generated results may be imperfect, inaccurate, unpredictable, or unintended. We make no guarantees about quality, legality, factual accuracy, or suitability of generated content.
6. Third-Party Services
The Service integrates with third-party AI providers (e.g., OpenAI, Google). By using the Service, you acknowledge that Inputs and associated data may be transmitted to such providers for processing.
Their terms and privacy policies may apply. We are not responsible for third-party functionality, reliability, output, conduct, or security.
7. Payment, Billing & Refunds
Some features require payment through subscriptions or usage-based billing. By subscribing or purchasing credits, you authorize recurring charges where applicable.
All payments are non-refundable unless required by law. Pricing may change with notice; continued use after such notice constitutes acceptance.
8. Account Termination & Content Removal
We may suspend, restrict, or terminate accounts for violation of these Terms, for legal reasons, or if necessary for system integrity.
You may cancel your subscription or delete your account at any time. After termination, access to paid features ends, and stored content may be deleted.
9. Intellectual Property Rights
The Service, design, software, interface elements, and all non-user content are owned by VIDG.ai or its licensors and protected by intellectual property laws.
You may not reproduce, distribute, modify, or use branding or materials without written permission.
10. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted operation, error-free results, accuracy, or suitability of the Service or AI outputs.
We expressly disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages (including lost profits, lost data, or reputational harm).
Our total liability for all claims will not exceed the amount you paid to use the Service in the preceding 12 months or £100 GBP — whichever is greater.
12. Indemnification
You agree to defend, indemnify, and hold harmless VIDG.ai from any claims, damages, losses, or expenses arising from:
- Your use of the Service
- Your generated or uploaded content
- Your breach of these Terms or applicable laws
13. Changes to These Terms
We may update or modify these Terms periodically. When updated, the "Last Updated" date will change. Continued use of the Service after such updates constitutes acceptance of the revised Terms.
14. Governing Law
These Terms are governed by the laws of England and Wales. Disputes shall be resolved exclusively in the courts of England and Wales unless otherwise required by consumer protection laws.
